1. Acceptance of Terms

By accessing and using the services provided by MCG Consults ("we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

MCG Consults provides IT consulting services with a focus on small business automation, including but not limited to:

• Process automation consulting and implementation
• Data integration services
• IT infrastructure setup and management
• Digital transformation consulting

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Cooperate with our team throughout the project lifecycle
• Make timely payments as agreed upon in service contracts
• Maintain confidentiality of any proprietary methods or processes shared

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of receipt
• Late payments may incur additional fees
• Services may be suspended for overdue accounts

5. Intellectual Property

Unless otherwise specified in writing:

• Client retains ownership of their existing data and business processes
• MCG Consults retains ownership of proprietary methodologies and tools
• Custom solutions developed specifically for clients become client property upon full payment

6. Confidentiality

We maintain strict confidentiality regarding all client information and business processes. We will not disclose confidential information to third parties without written consent, except as required by law.

7. Limitation of Liability

MCG Consults' liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific services that gave rise to the claim. We are not liable for indirect, incidental, or consequential damages.

8. Warranty Disclaimer

Our services are provided "as is" without warranty of any kind. While we strive for excellence, we cannot guarantee specific business outcomes or results from our consulting services.

9. Termination

Either party may terminate service agreements with written notice as specified in individual contracts. Upon termination, payment for completed work remains due.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of Kansas, United States, without regard to conflict of law principles.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.
